Indemnity. Independent Contractors and Assignment. You and ENTERPRISE DIAGNOSTICS, INC. are independent contractors. Binding Arbitration. Any disputes arising out of or in connection with these Terms or your use of the Website shall be finally and exclusively settled under the Rules of Arbitration of the International Chamber of Commerce by one arbitrator appointed in accordance with those rules. Arbitration shall take place in the State of Texas, be conducted in English, and be confidential. Nothing prevents ENTERPRISE DIAGNOSTICS, INC. from seeking injunctions or equitable relief in a court of competent jurisdiction.
Class Action Waiver. WHERE PERMITTED UNDER APPLICABLE LAW, YOU AND ENTERPRISE DIAGNOSTICS, INC. AGREE THAT PROCEEDINGS TO RESOLVE DISPUTES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE WEBSITE WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION. UNLESS YOU AND ENTERPRISE DIAGNOSTICS, INC. AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS ACTION PROCEEDING.
General. ENTERPRISE DIAGNOSTICS, INC. reserves the right to discontinue or modify any aspect of the Website at any time. These Terms and the relationship between you and ENTERPRISE DIAGNOSTICS, INC. shall be governed by and construed in accordance with the laws of the State of Texas, United States of America. You agree to submit to the personal and exclusive jurisdiction of the courts located in the State of Texas, provided that ENTERPRISE DIAGNOSTICS, INC. may seek injunctive relief in any court of competent jurisdiction. Any cause of action arising out of or related to the Website must commence within one (1) year after the cause of action accrues or it is permanently barred.
